Invest Blue connects accredited investors with early-stage Kentucky-affiliated startups to facilitate investment, mentoring, and business support opportunities. (the “Services”).

By applying on the Website, registering an account on any subdomains, or using any part of the Services you acknowledge that you have read, understood, and agree to be bound by these terms (“Terms”). Invest Blue reserves the right to terminate your access to the Website if you violate these Terms. If you do not agree to these Terms, then you may not use the Website. These Terms may be changed by us from time to time without notice to you and the governing version will be posted on the Website. 1. Purpose

Invest Blue connects accredited investors with early-stage Kentucky-affiliated startups to facilitate investment, mentoring, and business support opportunities.

2. Membership Eligibility

To qualify as a Member, you must: 

• Have Kentucky affiliation (e.g., connection to a Kentucky university) or be recognized as a “friend” of Kentucky. 

• Be an Accredited Investor under SEC regulations. 

• Submit a Membership Application, complete an annual survey, and pay the annual membership fee. 

3. Member Benefits

Invest Blue provides Members with: 

• Access to a secure platform with Kentucky-affiliated investment opportunities. 

• Opportunities to network with other Members and industry experts. 

• The ability to participate in educational and mentoring events. 

4. Member Responsibilities

Members are expected to: 

• Actively engage with the network and uphold professional conduct. 

• Maintain accredited investor status and inform Invest Blue of any changes. 

• Use the platform solely for investment-related purposes, refraining from solicitation. 

5. Confidentiality

All information regarding investment opportunities is confidential and may only be used for personal investment decisions. 

6. External Services

Certain services operated by third parties (“External services”) may be made available to you on, through, or in connection with the Website or Services. External services may access, process, and transmit your information if you have so authorized. 

Invest Blue does not endorse any External services and is not responsible or liable for your use of such services or any losses or damages arising from your dealing with any External services. Your use of External services is solely at your own risk and in accordance with any agreements that you have with the External service providers.

Invest Blue does not provide investment advice or guarantees. Members are responsible for their own due diligence, and all investments are undertaken at the Member’s risk.  

Invest Blue is not a venture fund, an investment bank, a broker/dealer, investment clearing-house, or an investment advisor, but rather a forum in which investors may be educated on aspects of investment and business, as well as introduced to companies for possible investment. Invest Blue is not registered with the Securities Exchange Commission or any state securities commission. Each member of Invest Blue is responsible for his or her own investment decisions, and Invest Blue is not recommending any particular company for investment. Al investments in entrepreneurial companies involve a high degree of risk, and investors should be able to bear the risk of complete financial loss. The choice to use and manner of utilization of information and knowledge gained through Invest Blue is each member's individual and personal choice. No guidance shall be given, nor shall any person affiliated with Invest Blue be responsible for an individual member's use of the information, investment decision, or the results of any investment. INVEST BLUE DOES NOT ENDORSE ANY COMPANIES OR ENTITIES USING THE WEBSITE, NOR CAN WE GUARANTEE THE CORRECTNESS OF INFORMATION PROVIDED BY THE WEBSITE USERS. YOU HEREBY ACKNOWLEDGE THAT YOU SHALL ASSUME ALL RISKS ASSOCIATED WITH ACTIVITIES CARRIED OUT VIA THE WEBSITE AND SHALL NOT HOLD DEALUM LIABLE FOR ANY LOSSES YOU SUFFER AS A RESULT OF USING ANY OF THE SERVICES ON THE WEBSITE.
